FTC Seeks Comment on CAN-SPAM Act Provisions
On May 12, the Federal Trade Commission (FTC) published a Notice of Proposed Rulemaking (NPRM) concerning the CAN-SPAM Act, the first federal law designed to combat unsolicited commercial e-mail, or spam.
The CAN-SPAM Act has been in effect since January 1, 2004. For background on the CAN-SPAM Act and its provisions, please visit the ASAE Web site.
In its notice, the FTC addressed a number of topics that were raised in previous rulemakings and asked for comments on several new proposed rules. The following proposed rules are important to the association community.
1) Proposal to shorten the time in which an organization has to honor an opt-out from 10 to three business days;
2) Proposal to allow P.O. boxes and private mailboxes to fulfill the "valid postal address" provision found in the CAN-SPAM Act; and
3) Clarification that a recipient should not have to pay a fee or provide other information besides their e-mail address to submit a valid opt-out request.
ASAE plans to submit comments to the FTC on these provisions on behalf of its members by the June 27, 2005 due date. To submit your own comments electronically to the FTC, go the FTC Web site. If you have any questions related to the CAN-SPAM Act, please contact Chris Merida at cmerida@asaenet.org.

ASAE & The Center for Association Leadership to Create Network in Northern California
On May 18, the Northern California Society of Association Executives (NCSAE) Membership voted to legally dissolve as a corporation and approved the creation of the NCSAE Network. The new NCSAE Network will be managed by ASAE & The Center and provide networking, volunteer opportunities and career services to association professionals and business partners in the San Francisco Bay Area. NCSAE’s leadership proposed the concept last year. The ASAE Board approved it, based, in part, on ASAE’s recent needs assessment that revealed its desire to connect with ASAE in their own communities.

Question of the Week–Dissolution of an Association
What is the process and legal requirements for dissolution of an association?
Begin by reviewing the organization’s bylaws to see if dissolution procedures are spelled out there. Specific requirements vary from state to state, so you will need to contact a lawyer to ensure your particular needs are addressed. Then follow these general guidelines for dissolving an association/nonprofit corporation.
Step One: Vote to dissolve Step Two: File a notice of intent to dissolve Step Three: Inform the community Step Four: File articles of dissolution Step Five: Inform the Internal Revenue Service (IRS).
Nonprofits are not actually owned by anyone and therefore cannot be sold. If the directors of a nonprofit corporation decide to dissolve it, they must pay off all debts and obligations of the nonprofit and distribute all of its assets to another tax-exempt nonprofit corporation.
